1.DEFINITIONS

Curry Squad Catering Terms and Conditions of Supply

1.1 The definitions and rules of interpretation in this clause apply in these terms and conditions.

Client means the person, firm or company who purchases Services from CSC. Client's Equipment means any equipment, systems, cabling or facilities provided by/or on behalf of the Client and used directly or indirectly in the supply of the Services as detailed on the Order Form.

Client's Representative means the Client's representative appointed in accordance with condition 4.1. Conditions means these terms and conditions.

Contract means the Client's acceptance of a quotation for Services by CSC under condition 2.2. Event means the event detailed in the Order Form.

Menu means the menu items detailed on the Order Form.

Order Form means the order form/email which gives details on the event.

Services means the services to be provided by CSC under the Contract as set out in the Order Form together with any other services which CSC provides or agrees to provide to the Client.

CSC means Curry Squad Catering and Bar Services of Unit 4 Barns Court Friday Farm, Turners Hill Road, Copthorne RH10 4HQ.

CSC Equipment means any equipment, provided by CSC or its subcontractors and used directly or indirectly in the supply of the Services.

CSC Representative means CSC Representative appointed under condition 3.2 Venue means the location venue specified on the Order Form.

1.2 The Order Form forms part of the Contract and shall have effect as if set out in full in the body of these Conditions and any reference to the Contract includes the Order Form.

1.3 A reference to writing or written does not include faxes or e-mail.

1.4 Any obligation in the Contract on a person not to do something includes an obligation not to agree, allow, permit or

acquiesce in that thing being done.

2. APPLICATION OF CONDITIONS

2.1 These Conditions shall:

(a) apply to and be incorporated into the Contract; and

(b) Prevail over any inconsistent terms or conditions contained, or referred to, in the Client's purchase order, confirmation of order,

Acceptance of a quotation or specification, or implied by law, trade custom, practice or course of dealing.

2.2 The Client's acceptance of a quotation for Services by CSC, constitutes an offer by the Client to purchase the Services specified in it on these Conditions. No offer placed by the Client shall be accepted by CSC other than:

(a) by a written acknowledgement issued and executed by CSC; or

(b) (if earlier) by CSC starting to provide the Services, whereupon the Contract for the supply and purchase of those

Services on these Conditions will be established. The Client's standard terms and conditions (if any) attached to, enclosed with or referred to in any purchase order or other Document shall not govern. Quotations are given by CSC on the basis that no Contract shall come into existence other than in accordance with condition 2.2. Any quotation is valid (subject always to availability) for 30 days from its date, provided that CSC has not previously withdrawn it.

3. CSC OBLIGATIONS

3.1 CSC shall use reasonable endeavours to provide the Services to the Client.

3.2 CSC shall appoint CSC Representative who shall have authority contractually to bind CSC on all matters relating to the Services.

3.3 CSC shall use all reasonable endeavours to observe all health and safety rules and regulations including any new Covid legislation adhered by the government. In addition to this any other reasonable security requirements that apply at the Venue and that have been communicated to it under condition 4.1(c), provided that it shall not be liable under the Contract if, as a result of such observation, it is in breach of any of its obligations under the Contract.

3.4 All attached presentation files are for illustration purposes only and should not be treated as a guide to what will be provided on the day of the event.

4. CLIENT'S OBLIGATIONS

4.1 The Client shall:

(a) Co-operate with CSC in all matters relating to the Services and appoint the Client's Representative, who shall have the authority contractually to bind the Client on matters relating to the Services;

(b) Procure for CSC, its agents, sub-contractors and employees, in a timely manner and at no charge, access to the Venue and such other facilities as requested by CSC;

(c) Inform CSC of all health and safety rules and regulations and any other reasonable security requirements that apply at the Venue - Including any new Covid legislation which has been approved by the venue;

(d) Ensure that all the Client's Equipment and/or Venue’s commercial kitchen/area is in good working order and suitable for the purposes for which it is used, in relation to the Services and conforms to all relevant standards or requirements. The Venue must have all working mains supply ie: gas, sufficient amount of HOT water, electric, extraction system and LPG if this is offered instead of natural gas. If in any instance there is an issue with any of the listed mains supply services then CSC can rightfully decline to continue to host the event or apply additional fees to resolve these issues to ensure that CSC can carry out their contractual agreement and duties on the day.

(e) Source their own Table Linen - CSC is not responsible for arranging any kind of table linen, centre pieces, table numbers or chair covers. It is the clients responsibility to arrange this with the venue directly and/or find a suitable supplier to source this from. Once arranged CSC needs to be informed of this, and it is highlighted that the linen needs to be delivered to the venue at least 24 hours prior to the event commencing. Clients should also ensure that any additional linen is provided for any buffet, feeding stations, dessert tables or evening food where applicable. Where an event is held at one of CSC own venue then we can supply and source furniture, table linen, deco etc at additional costs.

(f) Obtain and maintain all necessary licences and consents and comply with all relevant legislation in relation to the Services, the installation of CSC Equipment, and the use of the Client's Equipment in relation to CSC Equipment insofar as such licences, consents and legislation relate to the Venue in all cases before the date on which the Services are to start. Where events are being held at CSC venue it is the clients responsibility to ensure that third party suppliers ie: DJ’s, bands, evening caterers etc provide all necessary compliance and due diligence documents ie: PAT testing, Food hygiene rating, liability insurance etc prior to being booked. This information needs to be sent to

(g) The client is solely responsible to communicate exact attendee numbers 30 days prior to the event being hosted. CSC has a minimum of x100 guests for any event unless specified and agreed in writing by CSC Management. If in the event of incorrect numbers being communicated on the day, resulting in CSC having to supply additional food or drink services then this will be charged at the agreed per head price with an additional 50% surcharge which would need to be paid in full on the day.

(h) If CSC is providing a dry hire bar service at an external venue then it is the clients responsibility to ensure the correct amount of drinks are supplied (if the client is providing the drinks themselves). CSC will not be responsible for the stock, where it is stored and how this is managed at the venue regarding the refrigeration unless specified in writing. If CSC is setting up a paid bar for guests then a minimum spend is set based on what we expect to sell during your event. This being calculated on the basis of number of service hours, number of guests, travel time & distance and stock required. If the minimum spend is not met by the end of the event, you as the client would be responsible to cover the difference. Where CSC is providing a full or partial drinks package bar service they will liaise with the clients in terms of drinks offered and will supply all glass ware, wine coolers, water jugs, ice, garnish etc. Prices will be based on what facilities are provided by the venue i. e, drinks refrigeration, bar back fridges, and bar structure.

(i) If CSC are providing a cake cutting/plating service then it is the responsibility of the client to ensure that the cake is stored and kept as required at the venue (Unless agreed with CSC prior to the event). CSC is not responsible for any damage to the cake which is caused as a result of it not being stored or kept adequately. CSC will endeavour to ensure that the cake is portioned and plated accordingly providing the cake/cream has not melted as a result of it not being stored/kept in the correct temperature.

4.2 If CSC performance of its obligations under the Contract is prevented or delayed by any act or omission of the Client, its agents, sub-contractors or employees, CSC shall not be liable for any costs, charges or losses sustained or incurred by the Client arising directly or indirectly from such prevention or delay.

4.3 The Client shall be liable to pay to CSC, on demand, all reasonable costs, charges or losses sustained or incurred by CSC (including any direct, indirect or consequential losses, loss of profit and loss of reputation, loss or damage to property and those arising from injury to or death of any person and loss of opportunity to deploy resources elsewhere) arising directly or indirectly from the Client's fraud, negligence, failure to perform or delay in the performance of any of its obligations under the Contract, subject to CSC confirming such costs, charges and losses to the Client in writing.

4.4 The client shall agree with their venue - a suitable time to allow CSC access to the venue and its kitchen/ event area 24 hours prior to the event commencing, unless specified differently. A site inspection may be carried out by CSC (if required) to ensure that all access areas can be easily reached with their vehicles or food trucks and the ground is suitable ie: flat and level - if the event is to be hosted in an outdoor setting. If in the instance or foul weather CSC can refuse to set up on land/space which is damp and not suitable or safe for an outdoor commercial kitchen set up.

4.5 The client shall agree prior with the venue - the closest access point to the kitchen/ cooking area for CSC to unload and de-rig at the beginning and end of an event.

4.6 If the event times run over and beyond the agreed timings or into the next day then an hourly rate of 250.00 ph will be charged and would need to be settled in full 24 hours after the event ends.

5. CANCELLATION/CHANGE

If either party requests a change to the scope or execution of the Services, CSC may, within a reasonable time, provide a written estimate to the Client of:

(a) The likely time required to implement the change;

(b) Any variations to CSC charges/fees arising from the change and; (c) Any other impact of the change on the terms of this Contract

provided always that CSC may in its absolute discretion decline any such request. CSC, from time to time change the Services and/or the Menu, provided that such changes do not materially affect the nature or quality of the Services and/or the Menu. Notice of cancellation of the Event must be made to CSC at the earliest opportunity and will incur a Cancellation and booking Fee.

(a) for cancellation between 30 and 20 weeks prior to the Event, 50% of Total Price; or (b) for cancellation between 20 and 10 weeks prior to the Event, 75% of Total Price; or (c) for cancellation less than 10 weeks prior to the Event, 100% of Total Price.

(d) In any case a Booking Fee will be added to any cancellations to cover CSC office, admin time and administration costs incurred.

6. CHARGES AND PAYMENT

6.1 The total price for the Services shall, subject to any variation in accordance with these Conditions, be the amount set out in the Order Form. The total price shall be paid to CSC (without deduction or set-off) in accordance with the terms set out in the Order Form.

6.2 The Client shall pay each invoice submitted to it by CSC. 50% deposit will be charged upon approval and for reserving the date in accordance with the order form, and the remaining amount will need to be paid in FULL and in cleared funds at least (45) days prior to the Event in accordance with the Order Form. Time for payment shall be of the essence of the Contract.

6.3 VAT will be added at the prevailing rate.

6.4 A deposit will be charged to cover any breakages, lost items or damages, and will be refunded 30 days after the event - less any costs of breakages and damages if occurred.

7. LIMITATION OF LIABILITY - THE CLIENT'S ATTENTION IS PARTICULARLY DRAWN TO THE PROVISIONS OF THIS CONDITION

7.1 This condition 7 set out the entire financial liability of CSC (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Client in respect of:

(a) Any breach of the Contract;

(b) any use made by the Client of the Services, the Menu or any part of them; and

(c) any representation, statement or tortious act or omission (including negligence) arising under or in connection with the Contract.

7.2 All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.

7.3 Nothing in these Conditions limits or excludes the liability of CSC:

(a) for death or personal injury resulting from negligence; or

(b) or any damage or liability incurred by the Client as a result of fraud or fraudulent misrepresentation by CSC.

7.4 Subject to condition 7.2 and condition 7.3:

(a) CSC shall not be liable for any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses; and

(b) CSC total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise arising in connection with the performance or contemplated performance of the Contract shall be limited to the price paid for the Services.

8. FORCE MAJEURE

CSC shall have no liability to the Client under the Contract if it is prevented from or delayed in performing its obligations under the Contract or from carrying on its business by acts, events, omissions or accidents beyond its reasonable control, including strikes, lock-outs or other industrial disputes (whether involving the workforce of CSC or any other party), failure of a utility service or transport network, act of God, war, riot, pandemic, terrorism attack, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm, insufficient supplies or raw materials or default of suppliers or sub- contractors.

9. VARIATION

Subject to Condition 5, no variation of the Contract or these Conditions shall be valid unless it is in writing and signed by or on behalf of each of the parties.

10. STATUS OF PRE-CONTRACTUAL STATEMENTS

10.1 The Client acknowledges and agrees that, in entering into the Contract it does not rely on any undertaking, promise, assurance, statement, representation, warranty or understanding (whether in writing or not) of any person (whether party to these terms and conditions or not) relating to the subject matter of the Contract, other than as expressly set out in the Contract.

11. ASSIGNMENT

CSC may at any time assign, transfer, charge, sub-contract or deal in any other manner with all or any of its rights or obligations under the Contract.

12. RIGHTS OF THIRD PARTIES

The Contract is made for the benefit of the parties to it and (where applicable) their successors and permitted assigns and is not intended to benefit, or be enforceable by, anyone else.

13. GOVERNING LAW AND JURISDICTION

The Contract and any dispute or claim arising out of or in connection with it or its subject matter, shall be governed by, and construed in accordance with, the law of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with the Contract or its subject matter.
